Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and [LEGAL ENTITY NAME](“ Amplinet”, “we”, “us”, or “ our”), the operator of the Amplinet website and social media management platform (the “Service”). Please read them carefully.
By joining our waitlist, creating an account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
01Agreement to these terms
By accessing or using the Service — including submitting your email to our waitlist — you confirm that you can form a binding contract with Amplinet and that you accept these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
02Who we are & definitions
The Service is operated by [LEGAL ENTITY NAME], registered at [REGISTERED ADDRESS]. In these Terms:
- “Connected Platform” means a third-party social media service (such as X, Instagram, Facebook, LinkedIn, TikTok, or Threads) that you link to your Amplinet account.
- “Your Content” means any text, images, video, drafts, or other material you create, upload, or schedule through the Service.
- “Platform Data” means data we access from a Connected Platform on your behalf, such as your posts, comments, mentions, and analytics.
03Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract to use the Service. You must also meet the minimum-age and eligibility requirements of every Connected Platform you use through Amplinet.
04Your account
To use most features you must create an account. You agree to provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly at security@amplinet.com if you suspect unauthorized access.
05The service, waitlist & early access
Amplinet is a social media management platform. It lets you plan, create, schedule, publish, and analyze content, and manage engagement, across your Connected Platforms from one place — scheduling is one feature among many.
The Service is pre-launch.Joining the waitlist does not guarantee access, a launch date, or any specific feature. Early access is provided on an evolving, “as-is” basis (see Disclaimers). We may add, change, suspend, or remove features at any time. We will use reasonable efforts to notify you of material changes.
06Connecting third-party platforms
When you connect a Connected Platform, you authorize Amplinet to access and act on your behalf through that platform’s API — for example, to publish scheduled posts, read and reply to comments and mentions, and retrieve analytics — strictly according to the permissions you grant.
- Your use of each Connected Platform remains subject to that platform’s own terms and policies. You are responsible for complying with them, and nothing in these Terms overrides them.
- Connected Platforms are independent third parties. They may change, limit, or revoke API access at any time, which can affect or interrupt the Service. We are not responsible for their acts, omissions, or availability.
- You may disconnect a Connected Platform at any time from within Amplinet or from that platform’s own security/permissions settings. See our Privacy Policy for how we handle data on disconnection.
- You represent that you own or are authorized to manage every account you connect, and that publishing Your Content will not violate any law or third-party right.
07Acceptable use
You agree not to use the Service to:
- violate any law, regulation, or the terms or policies of any Connected Platform;
- post or transmit content that is unlawful, infringing, defamatory, deceptive, hateful, or that constitutes spam or malware;
- send bulk, automated, or deceptive activity that a Connected Platform prohibits;
- infringe intellectual-property or privacy rights of others, or impersonate any person or entity;
- reverse-engineer, scrape, overload, or attempt to gain unauthorized access to the Service or its systems;
- resell or provide the Service to third parties except as expressly permitted.
We may investigate and take appropriate action, including removing content and suspending accounts, for any suspected violation.
08Your content
You retain all ownership of Your Content. To operate the Service, you grant Amplinet a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (for example, resizing images or formatting posts per platform), and transmit Your Content solely to provide the Service to you and to publish it to the Connected Platforms you direct. This license ends when you delete the content or your account, except for content already published to a Connected Platform and for backups retained for a limited period.
You are solely responsible for Your Content and represent that you have all rights necessary to use it and to authorize us to publish it.
09AI features
The Service may offer AI-assisted features, such as generating draft posts or suggesting replies. AI output can be inaccurate, incomplete, or unsuitable. It is provided as a draft for your review — you decide what to publish, and you are responsible for reviewing and editing all output before it is scheduled or posted. We do not auto-publish AI-generated content without your action.
10Fees & founder pricing
Joining the waitlist is free. If you receive early access, some features may be free during the early-access period. Paid plans and any “founder pricing” offered to waitlist members will be described at the time they are offered. Prices, plans, and included limits shown before launch are indicative and may change. Where we commit to lock in a founder price for a member, we will honor that commitment on the terms stated when it is offered.
11Our intellectual property
The Service, including its software, design, branding, and content (excluding Your Content), is owned by Amplinet or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, or create derivative works of the Service except as permitted by law.
12Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that scheduled content will always be published successfully, since publishing depends on Connected Platforms outside our control.
13Limitation of liability
To the maximum extent permitted by law, Amplinet and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or [USD 100 / local equivalent]. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14Indemnification
You agree to indemnify and hold Amplinet harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including any Connected Platform’s terms).
15Term & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by a Connected Platform or by law, or if we discontinue the Service. On termination, your right to use the Service ends; provisions that by their nature should survive (such as content licenses already exercised, disclaimers, and limitations of liability) will survive.
16Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
17Governing law & disputes
These Terms are governed by the laws of [GOVERNING JURISDICTION], without regard to its conflict-of-laws rules. You agree that the courts located in [VENUE] will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer protections available to you in your place of residence.
